Terms of Service for SoccQR

These Terms of Service ("Terms") govern your access to and use of the SoccQR website, products, QR tags, accounts, scan pages, and related services (collectively, the "Services") provided by SoccQR ("SoccQR," "we," "us," or "our").

By accessing or using our Services, purchasing a SoccQR product, creating an account, activating a tag, or interacting with a SoccQR tag page, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services on your own behalf.

If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian. If a parent or guardian creates, manages, or activates a SoccQR tag or account for a child, that parent or guardian is responsible for the child's use of the Services and any information submitted through the Services.

By using the Services, you represent and warrant that you have the legal authority to agree to these Terms.

2. Description of the Services

SoccQR provides QR code tags and related digital tools designed to help identify, manage, and support the return of soccer balls and other items. SoccQR may also allow users to:

create an account
register and activate QR tags
associate a tag with a profile or item
add optional text, images, and contact information
manage tag settings and status
display selected information when a tag is scanned
receive finder messages or other recovery-related interactions
access tag history, analytics, journaling, or related platform features

Some Services may change over time, and we may add, remove, or modify features at any time.

3. Accounts

To access certain features, you may need to create an account.

You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us promptly if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that contain false information, violate these Terms, or are used in a way that may harm SoccQR, other users, or third parties.

4. Tag Registration and Public Display

When you activate or register a SoccQR tag, you may choose to associate information with that tag, including names, titles, team names, messages, images, and contact options.

You understand and agree that information you choose to make available through a tag may be visible to anyone who scans that tag.

You are solely responsible for the information you choose to attach to a tag and for deciding what information is appropriate to make public. You should not post sensitive, private, or confidential information on a tag profile or scan page.

SoccQR is not responsible for how third parties use information you choose to make public through a tag.

5. Finder Interactions

SoccQR may allow a person who scans a tag to view tag-related information, contact the owner, send a message, or otherwise interact with the tag page.

We do not guarantee that:

a lost item will be found
a finder will contact you
a finder's information will be accurate
any message or return attempt will be successful
any location or recovery information will be accurate

SoccQR is only a tool to help facilitate identification and possible return of an item. We are not responsible for the actions, statements, omissions, or conduct of scanners, finders, owners, parents, coaches, or other third parties.

Any interaction between a tag owner and a finder is at their own risk.

6. Orders, Pricing, and Product Availability

All prices, product descriptions, offers, and availability are subject to change without notice.

We reserve the right to refuse or cancel any order at any time, including for reasons such as:

product or inventory availability
pricing or listing errors
suspected fraud
suspected abuse
payment issues
shipping limitations

If we cancel an order after payment has been received, we will issue a refund in accordance with our applicable policies.

You are responsible for providing accurate billing, shipping, and order information.

7. Payments

If you purchase products or paid services through SoccQR, you agree to pay all charges applicable to your purchase, including taxes and shipping charges where applicable.

Payments may be processed through third-party payment processors. SoccQR does not control those third-party processors and is not responsible for errors, delays, outages, or security incidents caused by them.

8. Shipping, Delivery, and Risk of Loss

Shipping and delivery timelines are estimates only unless explicitly stated otherwise.

SoccQR is not liable for shipping delays caused by carriers, weather, incorrect address information, customs, or events beyond our control.

Risk of loss and title for physical products pass to you upon delivery to the shipping carrier or upon delivery to you, depending on applicable law and the terms of the specific sale.

You are responsible for inspecting your order upon arrival and contacting us within a reasonable time if there is a problem.

9. User Content

"User Content" means any information, text, images, messages, tag data, profile information, team information, contact details, or other content you upload, submit, post, transmit, or make available through the Services.

You retain ownership of your User Content, but by submitting or displaying User Content through the Services, you grant SoccQR a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, modify for formatting purposes, transmit, and use that User Content as reasonably necessary to operate, improve, and provide the Services.

You represent and warrant that:

you own or control the rights to your User Content
your User Content does not violate any law or these Terms
your User Content does not infringe or misappropriate the rights of any third party
your User Content is not false, misleading, defamatory, obscene, harassing, threatening, or unlawful

We may remove, restrict, or refuse User Content at any time if we believe it violates these Terms or may create risk for SoccQR or others.

10. Prohibited Uses

You agree not to use the Services in any way that:

violates any applicable law or regulation
infringes the rights of another person or entity
harasses, abuses, threatens, stalks, or intimidates another person
impersonates another person or falsely suggests affiliation
uploads false, misleading, fraudulent, or deceptive information
publishes private or sensitive personal information without authorization
uploads malicious code, viruses, worms, or harmful software
interferes with the operation, security, or performance of the Services
attempts to gain unauthorized access to accounts, data, or systems
scrapes, copies, or harvests data from the Services without authorization
uses the Services for spam, phishing, fraud, or unauthorized marketing
uses a SoccQR tag or scan page for unlawful, offensive, or abusive content
uses the Services in a way that could damage SoccQR's reputation or operations

We may suspend, restrict, or terminate your access if you violate these Terms.

11. Children and Parent/Guardian Responsibility

SoccQR may be used in connection with youth sports. If you create or manage an account, tag, or profile on behalf of a minor, you are responsible for that minor's use of the Services and the information displayed or submitted through the Services.

Parents and guardians should be especially careful about what information is made visible on a public scan page.

SoccQR does not knowingly allow children under 13 to independently create accounts without any consent required by applicable law.

12. Intellectual Property

The Services, including all website content, software, design, branding, features, text, graphics, logos, icons, images, compilations, and underlying technology, are owned by SoccQR or its licensors and are protected by copyright, trademark, and other applicable laws.

Except as expressly permitted by these Terms, you may not reproduce, modify, distribute, display, sell, lease, reverse engineer, or otherwise exploit any portion of the Services without our prior written consent.

"SoccQR" and related names, logos, and branding may not be used without our prior written permission.

13. Feedback

If you provide us with ideas, feedback, suggestions, or recommendations regarding the Services, you agree that we may use them without restriction or compensation to you.

14. Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, and disclose information as described in our Privacy Policy.

15. Third-Party Services and Links

The Services may contain links to third-party websites, tools, payment processors, login providers, analytics providers, shipping carriers, or other services that are not controlled by SoccQR.

We are not responsible for the content, policies, practices, or availability of third-party services. Your use of third-party services is at your own risk and may be subject to separate terms.

16. Service Availability

We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

We may suspend, withdraw, discontinue, or change all or any part of the Services at any time without notice. We are not liable if any part of the Services is unavailable for any period of time.

17. Disclaimers

THE SERVICES AND ALL PRODUCTS, CONTENT, AND FUNCTIONALITY PROVIDED THROUGH SOCCQR ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCCQR DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, SOCCQR DOES NOT WARRANT THAT:

THE SERVICES WILL MEET YOUR REQUIREMENTS
THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
ANY LOST ITEM WILL BE FOUND OR RETURNED
ANY SCANNER OR FINDER WILL CONTACT YOU
ANY TAG WILL FUNCTION WITHOUT INTERRUPTION OR DAMAGE
ANY DATA, ANALYTICS, OR LOCATION INFORMATION WILL BE ACCURATE OR COMPLETE

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCCQR AND ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SOCCQR FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

THE AMOUNT YOU PAID TO SOCCQR FOR THE APPLICABLE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR
ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

19. Indemnification

You agree to defend, indemnify, and hold harmless SoccQR and its officers, directors, members, managers, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, liabilities, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

your use of the Services
your User Content
your violation of these Terms
your violation of any law
your violation of the rights of any third party
any information you make publicly available through a tag or scan page

20. Termination

We may suspend or terminate your access to the Services, remove content, deactivate tags, or close your account at any time, with or without notice, if we believe you violated these Terms, pose a risk to the Services or others, or if required by law.

You may stop using the Services at any time. Termination does not relieve you of obligations incurred before termination.

Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

21. Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

22. Dispute Resolution

Please contact us first at support@soccqr.com to try to resolve any dispute informally.

If a dispute cannot be resolved informally, you and SoccQR agree that, to the maximum extent permitted by law, the dispute will be resolved through binding arbitration rather than in court, except that either party may bring an individual claim in small claims court if eligible.

You and SoccQR also agree that any proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action, except where prohibited by law.

23. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms on our website, updating the "Last Updated" date, emailing you, or by other reasonable means.

Your continued use of the Services after updated Terms become effective means you accept the revised Terms.

24. Miscellaneous

These Terms constitute the entire agreement between you and SoccQR regarding the Services and supersede any prior agreements or understandings relating to the same subject matter.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
